No prior notice is required where the amendment (a) serves solely to comply with a statutory or regulatory obligation, (b) is exclusively advantageous to the User, or (c) concerns the introduction of a new, optional feature.
4.6. The Service is available to businesses only. The Service is available exclusively to business organisations and sole traders. By registering, the User expressly declares that they enter into the contract within the scope of their trade, self-employed occupation or business activity and do not qualify as a Consumer. Statutory provisions on consumer rights do not apply to this contract. The Service Provider is entitled to delete the Account if it establishes that this declaration was untrue.
5. Content and availability of the Service
5.1. The Service Provider provides Users with an online SaaS platform that enables:
- the creation and editing of digital product labels;
- the generation of unique QR codes for the product labels;
- the real-time updating and management of product data;
- the management of multilingual content;
- the production of statistics and analytics.
5.2. Registration. Registration is required in order to use the Service. During registration, the User provides the name of the contact person, an email address, a password and the company name. The User is responsible for keeping their login credentials confidential and for all activity carried out within their Account.
5.3. Availability. The Service Provider undertakes to provide the Service with an availability of 99% measured per calendar month. Availability is measured by the Service Provider's monitoring system with a sampling interval of no more than 5 minutes. The following are excluded from the calculation of availability:
a) announced planned maintenance, not exceeding 4 hours per calendar month, of which the Service Provider gives at least 48 hours' prior notice by email; b) extraordinary maintenance required for security reasons; c) any force majeure event under Section 15; d) any failure attributable to the User or to a third party (in particular an internet service provider, payment provider, DNS or certificate provider); e) any downtime resulting from a defect in the User Content or from use of the Service other than as intended.
5.4. Service credit. If availability in a given calendar month falls below the undertaken level, the User is entitled — on the basis of a claim submitted in writing within 30 days of the end of that month — to a credit calculated on the Subscription Fee attributable to that month, as follows:
Monthly availability Credit
| below 99% but at least 97% | 10% of the monthly fee
| below 97% but at least 95% | 25% of the monthly fee
| below 95% | 50% of the monthly fee
The credit is set off against the fee for the following Subscription Period. The credit is the User's sole remedy for a breach of the availability undertaking, without prejudice to the warranty claim under Section 12 and to the limitations set out in Section 13.9.
5.5. Right of use. The Service Provider provides Users with the possibility and the right to use the Website and the Platform. The User acquires a non-exclusive, non-transferable right, for the term of the contract and without territorial limitation, to use the Website and the software, program works and other works used on it solely for their designated purpose and in accordance with their intended use. In the absence of an express agreement to the contrary, the User is in particular not entitled to download or copy content produced by others, to grant further rights of use to third parties whether free of charge or for consideration, or to share, publish, communicate to the public, make available to third parties or otherwise use such content, whether for gain or free of charge.
5.6. Users may obtain detailed information on the other essential characteristics of the Service on the Website.
6. Rules applicable to User Content
6.1. By any content uploaded or any activity carried out by them, the User may not infringe the rights of third parties, in particular their copyright or related rights, or their rights relating to personal data or to their likeness. When uploading content, the User is obliged to satisfy themselves that they are entitled to upload it without restriction or any further third-party approval, and that neither the upload nor the content infringes the rights or legitimate interests of any third party or is otherwise unlawful; the User alone therefore bears liability in this respect.
6.2. Rights in the User Content. All rights in the User Content remain with the User. The User grants the Service Provider a non-exclusive, royalty-free licence, to the extent necessary for the provision of the Service, to store, reproduce, display and communicate the User Content to the public on the Product page. This licence terminates upon termination of the contract, save for statutory retention obligations.
6.3. Where the User uploads content, the User alone is liable for it. The Service Provider does not monitor the information (including files) that it merely transmits, stores or makes accessible, nor does it seek facts or circumstances indicating that unlawful activity is being carried out. The Service Provider assumes no liability for any injury caused to a third party by unlawful information made available by another person and transmitted, stored or made accessible by means of the information society service provided by the Service Provider.
6.4. As soon as the Service Provider becomes aware (e.g. on the basis of a notice) of unlawful conduct in connection with the information, or of the fact that the information infringes the rights or legitimate interests of any person or is contrary to these Terms, it shall take measures without delay to remove the information or to disable access to it; it is furthermore entitled to delete or suspend the User's Account. The Service Provider shall notify the User of the measure and the reasons for it without delay by electronic means.
6.5. With regard to information transmitted within the framework of the Service, it is not the Service Provider that initiates the transmission of the information, nor does the Service Provider select the addressee of the transmission or the information transmitted, nor does it modify it.
6.6. The User may not engage in conduct capable of impairing the good reputation or standing of the Service Provider or of the Website, or of impairing the rights of the Service Provider.
6.7. Indemnity. The User shall hold the Service Provider harmless from any claim, damage, fine and cost (including reasonable legal costs) asserted against the Service Provider by a third party on account of the infringing nature of the User Content or of conduct by the User contrary to these Terms.
7. Conclusion of the contract, correction of data entry errors
7.1. The contract is concluded for an indefinite period upon confirmation of the registration by the Service Provider.
7.2. The User may correct data entry errors while completing the registration form. Please check the contents of the registration form carefully. The User may modify their data and correct data entry errors under the Profile menu item, while the data displayed on Product pages may be modified on the Products page, on the product page that opens by clicking the Edit icon of the given product. The Service Provider excludes all liability in connection with incorrect or incomplete data provided by the User.
8. Operation of the Website
8.1. The Service Provider undertakes obligations regarding the availability of the Service as set out in Sections 5.3–5.4. Beyond that framework, the Service Provider does not guarantee the uninterrupted and error-free operation of the Website.
8.2. The Service Provider is entitled to change the content of the Website. Where the change entails the discontinuation or material restriction of an essential feature of the Service, the Service Provider shall give the User at least 30 days' prior notice by email, in which case the User may exercise the right of termination under Section 4.5.
8.3. The Website may contain links to other websites. The Service Provider assumes no liability whatsoever in connection with the information or content available on such websites.
9. Termination of the contract
9.1. The contract between the Parties terminates upon deletion of the User's Account.
9.2. The User is entitled to delete the Account without giving reasons, or to terminate the contract with effect as of the end of the Subscription Period. Where the Account is deleted during a Subscription Period, the User is not entitled to a refund, save in the cases set out in Sections 4.5 and 9.6.
9.3. The Service Provider is entitled, subject to at least 30 days' prior notice and without giving reasons, to delete the User's Account or to terminate the provision of its service.
9.4. In the event of a material breach by the User of these Terms, the Service Provider is entitled, by unilateral declaration, to terminate the contract with immediate effect and to delete the User's Account. Where the circumstances of the case and the nature of the breach so permit, the Service Provider shall first call upon the User in writing to remedy the breach within 8 days. In the case of termination with immediate effect, the User is not entitled to use the Service again, is not entitled to a refund, and the Service Provider may refuse the User access or repeated registration.
9.5. Data export and deletion. For 30 days following termination of the contract, the Service Provider shall enable the User to download the User Content in a machine-readable format. Thereafter the Service Provider shall permanently delete the User Content, unless a longer retention period is prescribed by law. After that 30-day period the data cannot be restored. It is the User's responsibility to save their data within that period.
9.6. Pro-rata refund. Where the contract terminates as a result of ordinary termination by the Service Provider under Section 9.3 or termination by the User under Section 4.5, the Service Provider shall refund the unused, pro-rata part of the Subscription Fee already paid within 30 days of termination.
9.7. Status of QR codes. The User acknowledges that the QR codes generated within the framework of the Service point to Product pages hosted on the Platform. Following termination of the contract and expiry of the grace period under Section 9.5, the Product pages will no longer be accessible and QR codes previously printed or applied to products will cease to work. The Service Provider therefore recommends that the User route the QR codes through their own domain (where the selected plan so permits) or arrange for redirection before the contract terminates. The Service Provider is not liable for any damage resulting from the QR codes becoming inaccessible.
10. Payment terms
10.1. Available plans. The Service Provider offers various subscription plans:
- Free Trial: trial access of indefinite duration, limited in functionality, to the basic functions of the Platform. The Service Provider is entitled to discontinue the free plan or amend its terms subject to 30 days' prior notice.
- Basic: basic functions in a limited number.
- Professional: extended functions, multilingual support.
- Enterprise: solutions tailored to individual requirements.
The precise functional and volume limits of each plan are available at qr2sku.com/pricing.
10.2. Current prices and terms. Current plan prices and detailed terms are available at qr2sku.com/pricing. The Service Provider is entitled to change the names, content and prices of the plans; it shall notify the User of any such change by email at least 30 days before it takes effect. The change does not affect the User's Subscription Period in progress and takes effect from the following Subscription Period. The User may exercise the right of termination under Section 4.5.
10.3. Renewal of the Subscription. The Subscription renews automatically at the end of the Subscription Period, unless the User switches off automatic renewal under the Subscriptions menu item or terminates the contract.
10.4. Payment methods. Payment is made by bank card (Barion Smart Gateway) in accordance with the payment terms set out at qr2sku.com/pricing. Automatic renewal is switched on by default and may be switched off at any time, without any condition, in the user interface under the Subscriptions menu item. In individual cases, upon separate request and enquiry (for example when purchasing an Enterprise plan), payment may be made by bank transfer; in such cases the Service Provider sets up the subscription plan, together with the associated services, in the administration interface.
10.5. Invoicing. The Service Provider sends the invoice by email within 8 days following payment. The invoice is issued in accordance with the invoicing and tax rules of the Service Provider's country of establishment (the United Kingdom) and, in the case of cross-border intra-EU B2B transactions, with the applicable EU VAT rules.
10.6. Late payment. In the event of late payment, default interest shall be charged in accordance with Section 6:155 of the Hungarian Civil Code (Ptk.). If the User's payment is more than 15 days overdue, the Service Provider is entitled to suspend provision of the Service following at least 8 days' prior written notice. During suspension the Product pages are not accessible; the availability undertaking under Sections 5.3–5.4 does not apply to that period.
10.7. Taxes. Published prices are net prices and do not include VAT or other turnover taxes. Any such tax is borne by the User. Where the User is established in the European Union and holds a valid EU VAT identification number, the Service Provider applies the reverse-charge mechanism; the User must provide a valid VAT number upon registration and inform the Service Provider without delay of any change. The User is liable for any tax consequences arising from an incorrect or missing VAT number.
11. Right of withdrawal and termination
11.1. In accordance with Section 4.6, this contract is concluded exclusively between businesses. Legislation applicable to contracts between a consumer and an undertaking, in particular the right of withdrawal and termination under Government Decree No 45/2014 (II. 26.), does not apply to this contract.
11.2. Should it nevertheless be established for any reason that the User qualifies as a Consumer, the Parties expressly agree — and the User expressly requests by accepting these Terms — that the Service Provider commence provision of the service without delay following conclusion of the contract, that is, before the expiry of the 14-day withdrawal period. The User further acknowledges that they lose the right of withdrawal once the service has been performed in its entirety. In respect of digital content not supplied on a tangible medium, the User expressly consents to performance commencing and acknowledges that their right of withdrawal thereby ceases. Even in such case, the User may terminate the contract at any time with immediate effect by deleting their Account.
12. Warranty
12.1. The Service Provider gives no warranty whatsoever in respect of content uploaded by Users, and thus does not guarantee that such content does not infringe the legitimate interests of third parties, that it is not unlawful, that it is accurate, correct or suitable for achieving any given purpose, or that it complies with any quality or other requirements.
12.2. In the event of defective performance by the Service Provider, the User may assert a claim for warranty for defects (kellékszavatosság) in accordance with the rules of the Hungarian Civil Code (Ptk.).
12.3. Should the User find that their Product page is unavailable for reasons attributable to the Service Provider, they must contact the Service Provider without delay and notify their claim. The User must communicate the defect without delay after discovering it. Given that the User does not qualify as a consumer, a claim for warranty for defects becomes time-barred after one year pursuant to Section 6:163(1) of the Hungarian Civil Code; this is a statutory limitation period and not a contractual shortening. The User must prove that the defect identified by them already existed at the time of performance. Owing to the nature of the service, a claim for warranty for defects extends to repair of the service and, where repair is unsuccessful, to withdrawal from the contract.
12.4. The Service Provider assumes no liability for the activities of third parties, in particular Barion Payment Zrt., or for the services of such third parties and the operation thereof.
13. Liability
13.1. To the extent permitted by law, the Service Provider excludes all liability for any damage caused in any manner, directly and/or indirectly, by the User's use of the Website and/or by the result thereof, including but not limited to damage caused by:
- any activity of the User which may have been prompted by information published on the Website;
- the impossibility of using the Website;
- content uploaded by Users;
- the incorrectness, incompleteness or obsolescence of certain information appearing on the Website.
13.2. To the widest extent permitted by law, the Service Provider excludes all liability for direct, indirect, incidental, consequential or non-pecuniary damages arising from access to, or the lack of access to, the content of the Website, or from the use or lack of use of its content. The Service Provider does not warrant that the Website, the server making the Website accessible, or the files stored are free from viruses.
13.3. The Service Provider is not liable for the following, whatever the cause of their occurrence:
- the failure of any data sent and/or received over the internet to arrive, or the accidental alteration of such data;
- any operational failure in the internet network preventing the unimpeded operation of the Website;
- any failure in any receiving device or in the communication lines;
- the loss of a message;
- the improper functioning of any software;
- the consequences of any program error, extraordinary event or technical failure.
13.4. The Service Provider is not liable for any direct or indirect damage resulting from connecting to or viewing the Website.
13.5. The User bears full and unlimited liability for damage arising from providing or publishing another person's personal data on the Website.
13.6. The Service Provider does not undertake or guarantee any result associated with the use of the Website; the Service Provider bears no liability for the achievement of a result.
13.7. The User must provide, at their own cost, the devices and the internet access of appropriate bandwidth required to use the service. The Service Provider recommends the use of a firewall and virus protection.
13.8. Financial cap on liability. To the extent permitted by law, the Service Provider's aggregate liability in connection with the contract is capped at the amount of the Subscription Fee actually paid by the User in the 12 months preceding the event giving rise to the damage. The Service Provider is not liable for lost profit, loss of business opportunity, indirect damage resulting from data loss, damage to reputation or other consequential damage.
13.9. The limitations or exclusions set out in this Section do not apply where the limitation or exclusion of liability is prohibited by law, in particular in the case of liability for damage caused intentionally or for breach of contract causing harm to human life, bodily integrity or health (Section 6:152 of the Hungarian Civil Code).
14. Reporting infringing content
14.1. Copyright and trademark notices (Section 13 of the Hungarian E-Commerce Act, Ekertv.). A rights holder whose work protected by the Copyright Act, or whose exclusive right deriving from trademark protection as defined in the Act on the protection of trademarks and geographical indications, is infringed by information made accessible by the Service Provider — not including the standardised address of that information — (hereinafter: the "rights holder") may call upon the Service Provider, by means of a notice contained in a private document with full probative force or in a public document, to remove the infringing information.
The notice must contain: a) the subject matter of the injury and an indication of the facts making the infringement probable; b) the data necessary to identify the infringing information; c) the name, home address or registered office, telephone number and email address of the rights holder.
Within 12 hours of receipt of the notice, the Service Provider must — while informing in writing, within 3 working days, the service recipient providing the infringing information (hereinafter: the "service recipient concerned") — take measures to disable access to or remove the information specified in the notice, and state on the basis of which rights holder's notice alleging infringement the removal took place. In all other respects, Section 13 of the Ekertv. governs the procedure.
14.2. Notices under Article 16 of Regulation (EU) 2022/2065 (DSA). Any person or entity may notify the Service Provider of information stored on the Platform that they consider to be illegal content. Notices may be submitted to legal@qr2sku.com and must contain: a) a sufficiently substantiated explanation of the reasons why the information is considered illegal; b) the exact electronic location of the information (URL); c) the name and email address of the notifying party; d) a statement confirming the notifying party's bona fide belief that the information contained in the notice is accurate and complete.
The Service Provider shall confirm receipt of the notice without delay, process it in a timely, diligent, non-arbitrary and objective manner, and inform the notifying party of its decision together with reasons. Where the Service Provider removes or disables access to User Content or suspends the Account, it shall provide the User with a statement of reasons in accordance with Article 17 of the DSA.
14.3. As a micro or small enterprise, the Service Provider is exempt under Article 19 of the DSA from the obligations set out in Chapter III, Section 3 of that Regulation. This does not affect the User's right to bring proceedings before a court against a decision of the Service Provider.
15. Force majeure
15.1. Neither Party is liable for failure to perform or delay in performing its contractual obligations where this is caused by an unforeseeable circumstance beyond its control which it was not obliged to avoid or avert (force majeure). This includes in particular: natural disaster, war, acts of terrorism, epidemic, strike, official or statutory restriction, nationwide internet, power or telecommunications outage, and large-scale cyberattack affecting third-party infrastructure.
15.2. The affected Party shall notify the other Party of the force majeure event without delay. If the force majeure situation persists for more than 30 days, either Party is entitled to terminate the contract with immediate effect; in such case the Service Provider shall refund the pro-rata unused part of the fee.
16. Remedies and disputes
16.1. The Parties shall first attempt to settle any dispute arising in connection with this contract by negotiation. The User may submit complaints to office@qr2sku.com; the Service Provider shall investigate the complaint and reply in writing within 30 days of its receipt.
16.2. Should negotiation fail, the Parties stipulate, depending on subject-matter jurisdiction, the exclusive territorial competence of the Budapest District Court for Districts II and III and of the Budapest-Capital Regional Court in respect of any disputes arising in connection with this transaction.
16.3. The Parties record that they consider the exclusive choice-of-court agreement under Sections 4.1 and 16.2 to fall within the scope of the 2005 Hague Convention on Choice of Court Agreements.
16.4. As the Service is available exclusively to businesses, consumer conciliation board proceedings and consumer alternative dispute resolution do not apply. Should a consumer dispute exceptionally arise, the User may turn to the conciliation board competent for their place of residence; the list of boards is available at bekeltetes.hu. The European Commission's online dispute resolution (ODR) platform was discontinued on 20 July 2025 and is therefore no longer available.
17. Miscellaneous
17.1. The content of the Website is protected by copyright and intellectual property rights; the use or exploitation, without authorisation and in any form or for any purpose incompatible with the purpose of these Terms, of the Website or parts thereof, or of the software, graphic, video, database and other works, texts, trademarks and trade names found on it, is prohibited. The Service Provider is the sole rights holder of intellectual works not uploaded by Users.
17.2. Should any provision of these Terms be found invalid by a court, such invalidity does not affect the validity of the remaining provisions, which remain in force. The invalid provision shall be replaced by a valid provision closest to the Parties' original commercial intent.
17.3. The Service Provider reserves the right, at its own discretion and in justified cases, to remove from the Website content it finds unacceptable. It shall notify the User of the removal and its reasons in accordance with Sections 6.4 and 14.2.
17.4. Notices. Notices between the Parties are validly given by electronic means, to the email address provided by the User in the Account and to the Service Provider's email address set out in Section 2. The User must notify the Service Provider without delay of any change to their email address. An email sent is deemed delivered on the working day following dispatch.
17.5. Assignment. The User may not transfer their rights and obligations under the contract without the Service Provider's prior written consent. The Service Provider is entitled to transfer the contract to its legal successor or an affiliated undertaking, of which it shall notify the User in advance.
17.6. These Terms, together with the Privacy Policy, constitute the entire agreement between the Parties in respect of the Service.
17.7. By using the Website, the User declares that they have understood these Terms, have taken note of their provisions, and accept them as a condition of using the Website.
